Office of the Company Registrar (OCR) – Primary body for company incorporation.
Inland Revenue Department (IRD) – Issues PAN/VAT for tax compliance.

Under the Companies Act, 2063, you can register:
Private Limited Company – 1–101 shareholders, cannot invite public investment.
Public Limited Company – Minimum 7 shareholders, can issue shares publicly.

Foreign Company – Incorporated abroad but operating in Nepal.
Proposed Company Name Approval from OCR.
Memorandum of Association (MOA) & Articles of Association (AOA).
Citizenship certificate(s) of shareholder(s) (or passport for foreigners).
Passport‑size photographs.
Power of Attorney (if applicable).
Approval from DOI for foreign investment.
Proof of registered office address.
The OCR offers a fully online registration system via official portal
Visit the OCR portal and check name availability.
Ensure the name is unique and not similar to existing companies.
Pay a small reservation fee.
Draft MOA & AOA in compliance with the Companies Act.
Include objectives, share structure, and registered office details.
Create an OCR account and upload scanned documents.
Fill in shareholder and director details.
OCR reviews the application.
If corrections are needed, resubmit promptly.
Fees depend on authorized capital.
Example (Private Company): NPR 1,000 for up to NPR 1 lakh capital; NPR 16,000 for up to NPR 1 crore.
Once approved, OCR issues the Company Registration Certificate.
Register for PAN/VAT at IRD.
Register at the local municipality/ward office.
Open a corporate bank account.
Obtain sector‑specific licenses if required.
